These Terms of Service ("Terms") govern your access to and use of CodeAlly's website, products and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. Use of our Services
You may use our Services only in compliance with these Terms and all applicable laws. You agree not to misuse the Services, interfere with their normal operation, or attempt to access them using a method other than the interface and instructions we provide.
2. Accounts
Some products may require you to create an account. You are responsible for keeping your credentials secure and for all activity under your account. Please notify us promptly of any unauthorised use.
3. Client projects
For custom work we perform for clients, the specific scope, timeline, deliverables and fees are defined in a separate written agreement or proposal. Where that agreement conflicts with these Terms, the agreement governs for that engagement.
4. Intellectual property
Unless otherwise agreed in writing, all content, branding and software that make up our own products remain the property of CodeAlly. For client work, ownership of deliverables transfers as set out in the relevant project agreement, typically upon full payment.
5. Payments
Fees for products or services are described at the point of purchase or in your project agreement. Unless stated otherwise, fees are due as invoiced. Late payments may result in suspension of Services.
6. Acceptable use
You agree not to use our Services to upload unlawful content, infringe others' rights, distribute malware, or engage in any activity that could harm CodeAlly, our users or third parties.
7. Disclaimers
Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not guarantee that the Services will be uninterrupted, error-free or completely secure.
8. Limitation of liability
To the maximum extent permitted by law, CodeAlly shall not be liable for any indirect, incidental, special or consequential damages, or for any loss of profits or data, arising from your use of the Services.
9. Termination
We may suspend or terminate your access to the Services if you violate these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination will continue to apply.
10. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
